These Terms and Conditions (the “Terms”) govern access to and use of PandaCue (the “Service”), provided by CodeSol Technologies (“CodeSol,” “Company,” “we,” “us,” or “our”).

1. Agreement to these Terms
By creating an account, accessing, or using the Service (including public booking pages, payment links, widgets, or APIs we provide), you agree to these Terms, our Privacy Policy, and any feature-specific policies presented in-product.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity. “You” means the individual user and, where applicable, the Customer Business.
If you do not agree, do not use the Service.
2. Description of the Service
PandaCue is a multi-tenant business operations platform that may include, depending on your plan and enabled capabilities:
- CRM: contacts, leads, pipelines, notes, tags, services, and industries;
- Operations: calendars, appointments, waitlists, tasks, resources, time clock, and online or express booking;
- Communications: unified conversations across email, SMS, WhatsApp, Meta messaging, web chat, and related channels; templates; notifications;
- Forms and chatbots: builders, public or embeddable forms and chat widgets, and submission handling;
- Automations: workflow runs that may update records or send messages based on your configuration;
- Finance: estimates, invoices, payments, products, gift cards, packages, memberships, and offers; Stripe Connect for Customer payment collection;
- Social Planner: compose, schedule, and publish content to connected networks (for example Meta, Google/YouTube, LinkedIn, TikTok, Pinterest, and X) and related engagement features where available;
- Integrations: OAuth and API connections to third parties such as Google, Meta, LinkedIn, TikTok, Pinterest, X, Stripe, storage, email, and SMS providers;
- Files and media storage via our object storage;
- Reports and in-product operational analytics;
- Platform administration for CodeSol staff;
- Trial signup and public catalog or embed experiences.
Features may be gated by roles, staff permissions, plan groups, add-ons, and business capabilities. We may add, modify, or discontinue features with reasonable notice where practicable.
The product may appear as “PandaCue,” “CodeSol,” or an industry snapshot name. These Terms apply regardless of display name.
3. Eligibility and accounts
3.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. The Service is for business use, not for children as primary users.
3.2 Account types
- Platform users — CodeSol personnel with platform roles.
- Business users — members of a Customer Business with roles
OWNER,ADMIN, orMEMBER, plus staff permissions. - Public visitors — unauthenticated users of booking, pay, form, chat, gift card, package, membership, or embed pages.
3.3 Account security
You must:
- provide accurate registration information and keep it updated;
- protect passwords, cookies on shared devices, invite links, and staff time-clock PINs;
- promptly revoke access for departed staff;
- notify us of suspected unauthorized access.
You are responsible for activity under your accounts and Business memberships.
3.4 Multi-context access
Users may switch between platform and business authentication contexts where authorized. Actions are attributed to the active context and user.
4. Customer Businesses, content, and responsibilities
4.1 Customer Content
“Customer Content” means all data, files, messages, media, form answers, booking details, invoices, social posts, and other materials submitted to or generated in the Service by or for a Business, including end-customer data.
As between you and CodeSol, the Business retains ownership of Customer Content. You grant CodeSol a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Content solely to provide, secure, and improve the Service and as otherwise permitted in the Privacy Policy or a signed Data Processing Addendum or Order Form.
4.2 Your responsibilities (Businesses)
You represent and warrant that you will:
- Use the Service only for lawful business purposes and in compliance with applicable laws, including privacy, consumer, advertising, telemarketing/SMS, email marketing, recording, healthcare, financial, export, and platform rules of Meta, Google, TikTok, and similar providers.
- Provide all required notices and obtain all required consents from your end customers, patients, leads, and website visitors.
- Configure cancellation policies, booking rules, notification templates, and automations accurately; you are responsible for messages sent under your configuration.
- Not upload malware, infringing content, or unlawful material; not attempt to bypass multi-tenant isolation, permissions, capability gates, or security controls.
- Not use the Service to spam, harass, phish, or send unsolicited bulk communications in violation of law or carrier rules.
- Maintain your own records and backups of critical Customer Content as appropriate for your industry.
- Ensure staff permissions match your internal policies.
- For YouTube and similar platforms, correctly set designations such as Made for Kids, privacy status, and category fields.
- For TikTok and other networks, set privacy levels, commercial or branded content flags, and disclosures required by those platforms.
- Not misrepresent affiliation with CodeSol or PandaCue beyond permitted “Powered by” or marketplace branding.
4.3 End customers of Businesses
If you book, pay, submit a form, or chat with a Business through our public pages, that Business is responsible for the transaction and for how they use your information. Disputes about appointments, refunds, or services should be directed to the Business, except for technical failures of our platform infrastructure.
4.4 Prohibited uses
You may not:
- reverse engineer, scrape at abusive scale, or interfere with the Service;
- resell the Service except under a written partner agreement;
- use another user’s account without permission;
- probe or attack systems, or circumvent rate limits, idempotency, or authentication;
- store or process data in violation of export controls or sanctions;
- use the Service for high-risk activities where failure could cause death, personal injury, or severe environmental damage without a written agreement covering that use.
5. Plans, capabilities, billing, and taxes
5.1 Subscriptions and capabilities
Access to modules may depend on plan groups, add-ons, and capabilities assigned to your Business. We may change packaging with notice. Downgrades may disable features or integrations.
5.2 Platform billing
Fees for PandaCue subscriptions are billed via Stripe. By subscribing, you authorize recurring charges according to your plan. Taxes may apply.
Non-payment may result in suspension, limited mode, or termination.
5.3 Payments your Business collects (Stripe Connect)
If you enable Stripe Connect, you are the merchant of record (or as designated by Stripe) for charges to your end customers. You must complete Stripe’s onboarding, verify identity, and comply with Stripe’s terms. CodeSol is not responsible for chargebacks, refunds, payout delays, or Stripe account holds, except to the extent caused by our proven gross negligence in platform routing.
5.4 Refunds
Platform subscription refunds are handled case by case via [email protected], or as stated in your Order Form. End-customer refunds for Business sales are the Business’s responsibility via Stripe and the Business’s own policies.
5.5 Trials
Trials (including phone OTP signup) are provided “as is,” may be limited in duration or features, and may convert to paid plans only with your authorization or as disclosed at signup.
6. Third-party services and integrations
6.1 Third-party terms
Integrations are optional and subject to the third party’s terms and privacy policies. We do not control Meta, Google, TikTok, LinkedIn, Pinterest, X, Stripe, Twilio, Resend, Cloudflare, or other providers.
6.2 OAuth and credentials
By connecting an integration, you authorize us to store encrypted credentials or tokens and to call APIs on your behalf. Disconnecting stops new API use; revoke access also in the provider’s console when needed.
6.3 Availability of third parties
Outages, API changes, app review requirements, scope reductions, rate limits, or policy enforcement by third parties may impair features. We are not liable for third-party downtime or policy decisions.
6.4 Shared messaging infrastructure
Email may be sent from domains we operate. SMS may use platform Twilio numbers or Business-provisioned numbers. You must comply with carrier rules, consent, and opt-out (STOP). We may enforce suppressions and block abusive sending.
6.5 Webhooks
Providers send webhooks to our API. We may retain webhook payloads for a limited period for reliability and debugging.
7. Public surfaces, embeds, and widgets
We host public and embeddable experiences such as booking, calendar, invoices, estimates, pay links, forms, chatbots, gift cards, packages, memberships, trial widgets, and OAuth callbacks. You must:
- configure branding and policies accurately;
- not embed widgets on sites that violate law or these Terms;
- ensure your website’s privacy notice includes adequate disclosures when you collect visitor data via our widgets.
Technical failure of embeds due to your content security policy, ad blockers, or misconfiguration is outside our control.
8. Communications compliance
You are solely responsible for:
- obtaining prior express consent where required;
- message content accuracy and lawful purpose;
- honoring opt-outs promptly;
- WhatsApp and Meta template approval and commerce policies;
- not sending emergency services communications unless expressly contracted.
We may suspend messaging features for suspected abuse or provider demands.
9. Social publishing and content rights
You retain rights to your creative content. You grant us a license to process and transmit media to connected networks. You must own or have licenses for all music, video, images, and text you upload. Platform-specific rules (disclosures, branded content, privacy levels, Made for Kids) are your obligation.
We may remove or block content that violates law, these Terms, or provider rules when we become aware of it.
10. Intellectual property — the Service
10.1 Our IP
The Service software, UI, documentation, trademarks (including CodeSol and PandaCue marks), and underlying technology are owned by CodeSol or its licensors. Except for the limited right to use the Service under your subscription, no rights are granted.
10.2 Feedback
You grant us a perpetual, royalty-free license to use feedback and suggestions without obligation to you.
10.3 Copyright complaints
Send alleged infringement notices to [email protected] with the details required under applicable copyright law.
11. Confidentiality
Each party may receive confidential technical or business information. The recipient will use it only for performing under these Terms and protect it with reasonable care. Customer Content is protected as described in the Privacy Policy and any Data Processing Addendum. Obligations do not apply to information that is public, independently developed, or rightfully received from others.
12. Privacy and data protection
Our Privacy Policy explains how we process personal data. For Customer Content, Businesses are typically controllers and CodeSol is a processor or service provider. Enterprise customers may request a Data Processing Addendum. You must not configure the Service to process special categories of data unless your plan and agreements expressly allow it and appropriate safeguards exist.
13. Soft delete, export, and suspension
Many records are soft-deleted and may remain in systems for a period and in backups. Upon written request after account closure, we will delete or anonymize Customer Content within a commercially reasonable time except where retention is required by law, dispute, or backup cycles. Use available export tools before cancellation.
We may suspend access for non-payment, security risk, legal demand, or Terms violations.
14. Service levels, support, and beta features
Unless an Order Form states otherwise, the Service is provided on a commercially reasonable efforts basis without a guaranteed uptime SLA. Support is available via [email protected] during standard business hours.
Beta, sandbox, or pre-release features may be unstable and can be changed or withdrawn at any time. Realtime features may be delayed or unavailable without constituting a breach.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CUSTOMER CONTENT WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR APPROPRIATE BACKUPS AND FOR VERIFYING CRITICAL BOOKINGS, PAYMENTS, AND MESSAGES.
WE DO NOT PROVIDE MEDICAL, LEGAL, ACCOUNTING, OR OTHER PROFESSIONAL ADVICE. INDUSTRY SNAPSHOT TEMPLATES ARE CONVENIENCE CONFIGURATIONS ONLY.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO CODESOL FOR THE SERVICE IN THAT PERIOD, OR USD $100 if you are on a free trial.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED.
17. Indemnification
You will defend and indemnify CodeSol and its officers, directors, employees, and agents against claims, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer Content; (b) your use of the Service or integrations; (c) your communications; (d) your breach of these Terms or law; (e) disputes between you and your end customers or staff; and (f) infringement claims related to content you upload or publish.
18. Term and termination
These Terms apply while you use the Service. Either party may terminate for convenience per plan rules or on notice as stated in an Order Form. We may terminate or suspend immediately for material breach, illegal use, security risk, or non-payment.
Upon termination, your license ends. Sections that by nature should survive—including intellectual property, fees owed, disclaimers, liability limits, indemnity, and governing law—survive.
19. Changes to the Service or Terms
We may update these Terms by posting a revised version with a new effective date. Material changes may be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance where allowed. If you do not agree, stop using the Service and cancel your subscription.
20. Export, sanctions, and government use
You must comply with export control and sanctions laws. You may not use the Service if you are prohibited under applicable sanctions. If you are a government entity, additional terms may be required.
21. Mobile applications
If we offer a mobile application accessing the same backend, these Terms apply. Mobile authentication may use secure device storage for tokens. App store terms also apply to distribution.
22. Assignment
You may not assign these Terms without our consent, except to an affiliate or successor in connection with a merger or sale of substantially all assets with notice. We may assign to an affiliate or successor. These Terms bind permitted successors.
23. Governing law and disputes
These Terms are governed by applicable law, excluding conflict-of-law rules. Disputes shall be resolved in a court of competent jurisdiction, unless the parties agree otherwise in writing.
Consumers in jurisdictions with mandatory local consumer protections retain those rights where they cannot be waived.
24. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, Order Forms, and any Data Processing Addendum form the entire agreement regarding the Service.
- Severability. Invalid provisions are severed; the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Force majeure. We are not liable for delays beyond reasonable control, including third-party API outages, carriers, cloud providers, or internet failures.
- Notices. We may notify you via email on your account or in-product notices. Legal notices to us: [email protected].
- Relationship. Parties are independent contractors. No partnership or employment is created.
- Language. English controls unless local law requires otherwise.
